1. Definitions and Interpretation
These Terms and Conditions (“Agreement”) govern the services provided by Frame The Pixel (“Freelance Brand”) to its clients (“Client”). By engaging with Frame The Pixel, the Client agrees to abide by the terms set forth herein.
2. Scope of Services
a. Frame The Pixel provides web design, development, and related digital services, including but not limited to WordPress development, Elementor and Crocoblock integration, website redesigns, and digital consulting.
b. The scope of work will be outlined in a separate proposal, invoice or contract agreed upon before the commencement of any project.
c. Any additional features, revisions, or modifications beyond the agreed scope will be subject to additional charges.
3. Project Timelines & Delivery
a. Estimated timelines for project completion will be outlined in the proposal.
b. Delays caused by the Client’s failure to provide required materials, feedback, or approvals may result in timeline extensions.
c. Frame The Pixel will not be held responsible for any project delays due to third-party dependencies, such as hosting providers or plugin developers.
4. Payment Terms
a. A 50% deposit is required before work commences. The remaining 50% is due upon project completion before the website goes live.
b. Payment must be made via the methods specified in the invoice (e.g., bank transfer, PayPal, Stripe, etc.).
c. Failure to make timely payments may result in project suspension or termination.
5. Revisions & Modifications
a. The project includes a specified number of revisions as outlined in relevant documents (proposal / invoice / agreement).
b. Additional revisions beyond the agreed scope will be billed at an hourly rate.
c. Once the final design is approved and delivered, any further modifications will be treated as a new project or charged accordingly.
6. Intellectual Property & Ownership
a. Upon full payment, the Client receives ownership rights to the completed website.
b. Frame The Pixel retains the right to showcase the project in its portfolio unless otherwise agreed in writing.
c. Third-party assets, such as fonts, stock images, and plugins, may be subject to their respective licensing terms.
7. Client Responsibilities
a. The Client agrees to provide all necessary content, logos, images, and brand guidelines required for the project.
b. The Client is responsible for ensuring they have the rights to any provided materials and that they do not infringe on any copyrights or trademarks.
c. The Client must review and approve work within a reasonable timeframe to avoid project delays.
8. Limitation of Liability
a. Frame The Pixel is not liable for any loss of revenue, profits, or data due to website downtime, cyberattacks, or third-party software failures.
b. The Client acknowledges that website performance is subject to hosting conditions, third-party plugins, and maintenance requirements beyond Frame The Pixel’s control.
9. Termination of Services
a. Either party may terminate the agreement with written notice if the other party breaches the terms outlined herein.
b. Deposits are non-refundable once work has commenced.
c. If the Client terminates the project after substantial work has been completed, the Client is still responsible to complete full payment.
10. Confidentiality & Non-Disclosure
a. Both parties agree to keep confidential any proprietary information shared during the course of the project.
b. Frame The Pixel will not share, sell, or disclose Client information without prior consent, except as required by law.
11. Governing Law
This Agreement is subject to the general principles of contract law. Any disputes will be resolved through mutual negotiation, and if necessary, appropriate legal measures may be taken based on the applicable jurisdiction of the Client or Freelancer.
